1. Acceptance of Terms

By accessing our Site, requesting a demo, or subscribing to our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use our Site or Service.

2. Definitions

"Property-Boost," "We," "Us," "Our" refers to the software brand and service operated by PROPERTY-BOOST (NIF: B24931172).
"You," "Client," "User" refers to the individual or legal entity accessing the Service, typically a hotel, vacation rental manager, property management company, or their authorized personnel.
"Service" refers to the Property-Boost cloud-based software platform for managing bookings, guests, properties, and channels, as described on our Site and in your subscription plan.
"Subscription" refers to the paid plan you select to access the Service.
"Content" refers to all information, data, text, software, graphics, and materials provided through the Service.

3. Description of Service

Property-Boost provides a Software-as-a-Service (SaaS) platform designed to assist hotels and vacation rental managers in centralizing their booking operations. Core features may include, but are not limited to: a booking calendar, channel management, guest communication tools, payment processing facilitation, and reporting dashboards.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature or content.

4. Account Registration and Security

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:

Maintaining the confidentiality of your account password and login credentials.
All activities that occur under your account.
Ensuring that your use of the Service complies with all applicable laws and regulations.
You must notify us immediately of any unauthorized use of your account or any other breach of security.

5. Subscription, Fees, and Payment

Free Trial: We may offer a free trial period. Upon its expiration, you must choose a paid Subscription to continue using the Service.
Fees: You agree to pay all fees specified for your chosen Subscription plan. Fees are quoted exclusive of any applicable taxes, which you are also responsible for paying.
Payment: Payments are typically billed in advance on a monthly or annual basis. You must provide a valid payment method. Failure to pay may result in suspension or termination of your access to the Service.
Price Changes: We reserve the right to change our Subscription fees. We will provide you with reasonable notice of any fee changes, typically via email.

6. Intellectual Property

Our Rights: The Property-Boost Service, its original content, features, functionality, design, and software are and will remain the exclusive property of PROPERTY-BOOST and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
Your Data: You retain all right, title, and interest in and to the data you input into the Service ("Client Data"). You grant us a limited, worldwide, non-exclusive license to use, process, and store your Client Data solely for the purpose of providing and improving the Service to you.
Restrictions: You may not copy, modify, create derivative works of, reverse engineer, decompile, or attempt to extract the source code of the Service.

7. Client Data and Privacy

Responsibility: You are solely responsible for the accuracy, quality, and legality of your Client Data and for obtaining all necessary rights and consents to use it within the Service.
Privacy: Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices.
Data Processing: As part of the Service, we may process personal data of your guests on your behalf. To the extent applicable under data protection laws, you are the data controller and we are a data processor. We will process such data only in accordance with your instructions and as necessary to provide the Service.

8. Acceptable Use and Prohibited Activities

You agree not to use the Service to:

Violate any applicable local, national, or international law or regulation.
Infringe upon the intellectual property rights of others.
Upload or transmit any malicious code, viruses, or any material that is unlawful, harassing, defamatory, abusive, or obscene.
Interfere with or disrupt the integrity or performance of the Service.
Use the Service to send unsolicited communications (spam).
Attempt to gain unauthorized access to the Service or its related systems.

9. Third-Party Services and Integrations

The Service may integrate with or enable access to third-party services (e.g., online travel agencies, payment gateways, cleaning services). These services are governed by their own terms and privacy policies. We do not endorse and are not responsible for the content or practices of any third-party services. Your use of such services is at your own risk.

10. Disclaimer of Warranties and Limitation of Liability

Service "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis. PROPERTY-BOOST expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantee: We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
Limitation of Liability: To the maximum extent permitted by law, PROPERTY-BOOST shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
Maximum Liability: Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the total amount of Subscription fees you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless PROPERTY-BOOST, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your Client Data caused damage to a third party.

12. Term and Termination

Term: These Terms remain in effect while you use the Service or maintain an active account.
Termination by You: You may terminate your Subscription at any time by following the cancellation instructions in your account settings, subject to any applicable notice periods.
Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, delete your Client Data after a reasonable period following termination. Sections on Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and this Section 12 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaga, Spain.

14. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

15. General Provisions

These Terms constitute the entire agreement between you and PROPERTY-BOOST regarding our Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
